These Terms and Conditions ("Terms") govern your access to and use of websites, applications, products, and services (collectively, the "Services") provided by ConnexUS AI Inc., a Delaware corporation ("ConnexUS AI," "Company," "we," "us," or "our"), including but not limited to theconnexus.ai and the ATHENA product.
By accessing or using our Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our Services.
Our Services are available only to individuals who are at least 18 years of age and can form legally binding contracts under applicable law. By using our Services, you represent and warrant that you meet these eligibility requirements. Organizations may use our Services through authorized representatives who have authority to bind the organization to these Terms.
When you register for an account or submit a signup application, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.
Early Access Disclaimer: Submitting an application for Early Access does not guarantee immediate provisioning. Selection and provisioning is at the sole discretion of ConnexUS AI. Submission of an application does not create any binding agreement or entitlement to access our products.
ATHENA is a multi-channel AI agent platform that enables operators to build Voice, Email, and Chat V-Reps (Virtual Representatives) from a single console. Each V-Rep shares a unified knowledge base, wallet, team, and analytics layer.
ATHENA features, functionality, pricing, and availability are subject to change without notice. We make no guarantees regarding final product specifications, release date, or continued availability of any features described in marketing materials or during the Early Access Program.
Pioneers accepted into the Early Access Program may receive a complimentary subscription to ATHENA for a period of one (1) year from the date of product release ("Trial Period"). The Trial Period is subject to the following conditions:
ATHENA is designed with privacy as a core principle. Tenant data processed through ATHENA is not transmitted to external AI training systems, and we do not use your content to train third-party AI models. Your data remains under your control. Please see our Privacy Policy for complete details on data handling practices.
You agree not to:
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, trademarks (including "ATHENA" and "ConnexUS AI"), software, and technology, are owned by ConnexUS AI or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.
Your Content: You retain ownership of content you upload to our Services. By uploading content, you grant us a limited license to process, store, and display your content solely for the purpose of providing our Services to you.
Certain Services may require payment of fees. All fees are stated in U.S. dollars unless otherwise specified. You agree to pay all applicable fees and authorize us to charge your designated payment method. Fees are non-refundable except as required by law or as expressly stated in a separate agreement.
These Terms remain in effect while you use our Services. We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use our Services ceases immediately.
We do not warrant that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
AI Output Disclaimer: ATHENA uses artificial intelligence to process, generate, and act on Voice, Email, and Chat interactions. AI-generated outputs may contain errors, inaccuracies, or incomplete information. You are solely responsible for reviewing and verifying any AI-generated outputs before relying on them for any purpose.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONNEXUS AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
You agree to indemnify, defend, and hold harmless ConnexUS AI and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Content.
Our Services may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or availability of third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.
We may modify these Terms at any time by posting updated Terms on our website. Material changes will be effective 30 days after posting, unless otherwise stated. Your continued use of our Services after modifications constitutes acceptance of the updated Terms.
We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice.
Any dispute, claim, or controversy arising out of or relating to these Terms or our Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.
YOU AND CONNEXUS AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
Before initiating arbitration, you must send a written Demand for Arbitration to ConnexUS AI Inc., Attn: Legal Department, 3301 N University Dr. Suite 100, Coral Springs, Florida 33065. If we cannot resolve the dispute within 30 days, either party may commence arbitration.
The arbitration shall take place in Palm Beach County, Florida. Each party shall bear its own arbitration fees and costs, except as otherwise provided by AAA Rules.
Either party may bring an individual action in small claims court in Palm Beach County, Florida, for disputes within the court's jurisdiction.
YOU MUST INITIATE ARBITRATION WITHIN ONE (1) YEAR OF THE DATE THE CLAIM AROSE. FAILURE TO DO SO CONSTITUTES A WAIVER OF SUCH CLAIM.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. To the extent arbitration does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in Palm Beach County, Florida.
By providing your phone number and opting in to receive text messages, you consent to receive both marketing and non-marketing messages from ConnexUS AI via SMS or MMS. Message frequency varies. Message and data rates may apply. You may opt out at any time by replying "STOP" to any message. Reply "HELP" for assistance. Consent is not required to make a purchase.
